The U.S. House of Representatives today passed a bill to legalize crowdfunding — originally introduced by Rep. Patrick McHenry (R-NC) — for the second time.
Up until this week, I was still telling friends and family about pending legislation to legalize crowdfunding for equity in the U.S. and describing it as "a very important bill that you've probably heard nothing about." That all changed this week as the Jumpstart Our Business Startups (JOBS) Act that contains the means to legalize crowdfunding took centerstage and, along the way, became bogged down by what I can only generously refer to as typical inside the beltway bumbling.
On Tuesday, the U.S. Senate is scheduled to make some procedural votes on the JOBS Act, which includes a framework to legalize crowdfunding for equity in the United States.
A well-reasoned and succinct critique from long-time Angel Investor Bill Payne written way back in November that does a good job summing up most of what crowdfunding opponents have been saying.
Today was not meant to be the day that the JOBS Act and the provisions to legalize crowdfunding for equity within it move forward. Democratic efforts to add amendments to the bill were blocked by Republicans, who responded by postponing any further action on the package until Wednesday.
Wednesday, the Senate cloture vote on H.R. 3606, better known as the JOBS Act, passed 76-22--the package will allow companies to offer securities to non-accredited investors via crowdfunding platforms. The JOBS Act passed the House by a 390-23 vote on March 8 and in a rare showing of bipartisan agreement on the economy during an election year. The Obama administration has expressed support for the JOBS Act, which the President intends to sign into law when the legislation reaches his desk.
Immediately after affirming the vote, Senators Jeff Merkley (D-OR) and Senator Scott P. Brown, (R-MA) and Jack Reed (D-RI) proposed two additional amendments.
A bittersweet moment in entrepreneurial history recently occurred, with the Senate passage of the JOBS Act. After passing in the House, this 6-pack of small business modernization reforms cleared the Senate. While most things were left intact from the House bill, the crowdfunding component was tweaked to allow for "more investor protections." In my opinion, crowdfunding was the most economically important part of the bill, so it's no surprise that the special interests have dipped their fingers in the mix. Unfortunately, America will pay a price for this in terms of brain-drain. Sound familiar?

Today the final legislative hurdle to legal crowdfunding in the United States is cleared when President Obama signs the bill that includes the basic framework for the new industry. Next up comes several months of rule-making by the Securities and Exchange Commission.
